Movement Heath Foundation – Terms of Service

Introduction 

These Terms of Service (hereinafter the “Terms”) govern the access and use of the website https://movement-health.org/ (hereinafter the “Website”) which is operated by Movement Health Foundation, Rue du Rhône 65, c/o MLL Legal SA, Geneva branch, 1204 Geneva, Switzerland (hereinafter “Movement Health Foundation”, “we”, “our”, or “us”).  

The Terms apply to all users accessing and using Movement Health Foundation’s Website (“Users”, “you” or “your”). Please, read these Terms carefully since by using our services, you agree to be bound by these Terms and all terms incorporated by reference. 

Use of the Website 

You shall not use the Website in any manner that could be harmful to the activities or reputation of Movement Health Foundation. The use of the Website in a manner that could jeopardise its proper operation is prohibited. You undertake to refrain from excessive use of the Website. 

You shall prevent unauthorized access to the Website and notify us immediately upon becoming aware of any breach of security or unauthorized use of the Website. 

We may temporarily or permanently block the Website, restrict access or make it subject to certain conditions at any time and without giving reasons. Users have no right to access and use the Website or to its uninterrupted and/or error-free (technical) operation. 

The use of automated systems or software to extract data from this Website for commercial purposes, (“data scraping”, “screen scraping” or “web scraping”) is prohibited unless the third party has directly concluded a written licence agreement with us which permits it to access Movement Health Foundation’s information.

All content, trademarks, copyright, logos, materials and other intellectual property rights in the content of the Website – including but not limited to the text, computer code, photographs, articles, reports, images, videos, visual material, and the arrangement and display of the Website – together with the underlying software code (hereinafter the “Content and Materials”), are owned either by Movement Health Foundation or its licensors. 

You may not copy, modify, distribute or otherwise use or reproduce, in whole or in part, any Content and Materials without the prior written consent of Movement Health Foundation. 

You may not use Movement Health Foundation’s trademarks in connection with any Content and Materials without Movement Health Foundation’s prior written consent. 

The complete or partial reproduction, distribution, modification, linking or use for commercial or public purposes and any form of exploitation outside the limits of copyright law requires the prior written consent of Movement Foundation Health. This Website does not grant any license to use the intellectual property of third parties. 

Exclusion of Liability and Warranty 

We undertake reasonable efforts to ensure uninterrupted access to the Website but cannot guarantee that it will be free from technical issues or interruptions that prevent you from accessing the Website. We make no representation or warranties that the use of the Website will be uninterrupted or secured. In case of any technical problems, please contact us and we will do our best to resolve the issue as soon as possible.  

Movement Health Foundation shall not be liable for any direct, indirect or consequential damages arising out of or in connection with the access to or the use of the Website and/or Content and Materials and excludes its liability towards Users to the maximum extent permitted by applicable law.  

The Content and Materials are provided on an “as is” and “as available” basis and without any representations or warranties of any kind, either express or implied, including but not limited to availability, accuracy, reliability, completeness, and fitness for a particular purpose.  

It is the responsibility of each User to assess whether the Content and the Materials are adequate for the User’s purposes and to ensure that the User’s use of the Content and Materials complies with all applicable laws and regulations. 

Links to Third Party Websites 

The Website may contain links to third party websites. Movement Health Foundation does not monitor or have any control over and makes no claim or representation regarding third party websites. To the extent such links are provided on the Website, they are provided only as a convenience, and a link to a third-party website does not imply our endorsement, adoption or sponsorship of or affiliation with such third-party website. 

Data Protection  

When accessing and using our website, personal and non-personal data is processed automatically. The way we process your data when visiting our website is described in more detail in our Privacy Policy.  

Indemnification 

Each User agrees to indemnify and hold harmless Movement Health Foundation and its employees and agents from any and all claims, liabilities, damages, losses, and expenses arising in connection with the User’s use of the Website and/or Content and Materials. The indemnity includes, but is not limited to, compensation of Movement Health Foundation for costs for appropriate legal actions and defence that arise for fighting claims of third parties. In such case, Movement Health Foundation will promptly inform the relevant User about any required legal measures. 

Modification of the Website  

We reserve the right to make improvements or changes to any content, including but not limited to, Content and Materials available on the Website at any time without prior notice.  

Modification of the Terms 

We reserve the right to amend these Terms at any time, in our sole discretion, by posting the amended terms on the Website. The amended Terms will be effective immediately upon posting or notification. Your continued use of the Website after the posting of the amended Terms constitutes your acceptance of the amended Terms. 

Severability  

These Terms are the sole agreement and covenant between each User and Movement Health Foundation addressing the access and use of the Website.  

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision shall be deemed to be replaced with a legally effective provision coming as close as possible to the commercial sense and purpose of the invalid provision. The same shall apply to any gap in these Terms. 

If any provision in these Terms is held invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. If you believe you have other or additional rights than those stated in these Terms under applicable mandatory law, you should inform us without undue delay so we can provide an alternative remedy to the situation.  

No Waiver 

Our failure to enforce strict compliance with any of these Terms shall not be construed as a waiver.

Governing Law and Jurisdiction 

These Terms are governed by and construed in accordance with the laws of Switzerland, to the exclusion of its conflict of law provisions.  

Any dispute arising out of or in relation to the relationship between you and Movement Health Foundation under these Terms shall be submitted to the exclusive jurisdiction of the courts of the city of Geneva, Switzerland.
